Amplification is defined as the ratio of total debt and preferred stock to Bitcoin holdings, and it has risen to roughly 33%. This metric signals that the equity investors face greater downside risk as leverage increases and the common stock becomes more sensitive to Bitcoin’s price movements.

The capital stack at MicroStrategy comprises convertible debt at the top, with about $8.25 billion outstanding, followed by several classes of preferred stock—STRC, STRK, STRD, and STRF—with a notional value around $10.3 billion. The common stock sits at the bottom, bearing all residual upside and downside risk.

STRC pays an annual dividend yield of 11.5%, distributed monthly, and its trading volume has surged from a negligible level into roughly 20% of MSTR’s weekly volume, occasionally surpassing 25%. On a recent Friday, MSTR traded about $1.7 billion, well below its 30-day average of around $2.59 billion, while STRC traded about $526 million, nearly double its 30-day average of $259 million and roughly half of MSTR’s daily turnover. As amplification climbs, the ability to manage the leverage without issuing more equity becomes increasingly challenging, potentially weighing on performance relative to Bitcoin.

Some market watchers caution that investors have tended to focus on Bitcoin’s price and the stock’s mNAV premium, while amplification may emerge as a key risk driver. If amplification remains elevated, the company may rely more on debt and other non-equity instruments to support dividends, raising the prospect of greater equity risk in comparison with Bitcoin.
